(NASDAQ: INVT)  (the “Company”), an intellectual property licensing and innovation company, today announced that its subsidiary, Inventergy Innovations, LLC (“Inventergy Innovations”) has launched a patent licensing campaign for GTX Corp (OTCBB: GTXO) for its wireless location-based services intellectual property assets based on 2-way GPS tracking.

The licensing campaign is a follow-up to the definitive agreement announced in June 2016 in which Inventergy Innovations obtained the exclusive right to license or sell three of GTX’s patents — US 8,154,401, US 8,760,286 and US 9,219,978, commonly referred to as the “Comm. Protocol” family.   The licensing campaign represents the Company’s second monetization program announced by its subsidiary following the proof of concept engagement between Pabellon Power, Inc.  (a company developing magnetic based wireless power and data transfer systems) and a Fortune 100 company announced on September 27, 2016.

Q3 Initiatives included increasing our customer and subscriber base, formulating our patent monetizing strategy for next year, delivering our new GPS/RF product line, exploring new BLE and RF business opportunities with our channel partners and increasing overall margins through cost reductions and better operational efficiency.  

During Q3 the Company focused on basic fundamentals, such as growing revenues, improving customer service, working more closely with channel partners, exploring regional opportunities and ways to augment our GPS platform with new technologies such as low energy blue tooth and RF in regional markets and identifying new IP monetization strategies and growth opportunities for 2017.

Both RF and BLE technologies will start playing a more significant role in future product roll outs and will be part of a suite of new product offerings scheduled to come out over the next 6 months.

Our first new product using GPS and RF technology was delivered this quarter to a military base in Southern California. The Company delivered a new wide-area tracking system in the ISM 900MHz band, with 256-bit AES encryption, and up to 40-mile line-of-sight range with high-gain antennas. The system is a GPS and RF personnel, vehicle and asset tracking solution designed to provide ground situational awareness and real-time surveillance of all personnel and equipment traveling within a designated area, ranging from 2 – 200+ square-miles. Strategically deployed repeaters can extend this range and overcome “dead zones” due to rugged terrain, while the solar panels and extended battery will allow deployment of the repeaters to areas without existing power sources, making this solution ideal for military installations, oil rigs or any large area where cell coverage and or power is not available.  Both the hardware and software are designed and manufactured in house, proving the Company with vertical manufacturing to delivery capability.

On the SmartSole production front, 750 units of version 1.25 GPS modules were manufactured and 300 units of version 1.5 were ordered and will go into production in December.

Patrick Bertagna, GTX Corp CEO, stated, “This was our 3rd quarter in a row with double digit revenue increases and a 99% increase over the same period last year. We are holding a steady positive trend of higher revenues, new revenues, higher margins, lower expenses and lower losses for both the 3 month and 9 month ending period 2016. The wearable technology industry is expected to see another big forecast jump to an estimated $25 billion by 2019 and is showing no signs of slowing down, which is very good news for GTX stake holders. Our early entry into this industry with patent filing dates going back to 2002, our brand recognition, industry knowledge and staying power is opening up incredible new opportunities for us. Limited capital is still a challenge for us to grow quickly, but we are growing and remain as committed and passionate as ever. Additionally management has elected to transfer accrued salaries into long-term convertible promissory notes, due on December 31, 2018. The total amount of salaries converted was $318,671, bringing down our outstanding accounts payable by 44%. Management will have the ability to convert up to 50% of their note into equity which is currently set at a fixed above market price, reflecting the continued long term commitment by senior management.”

Safecall distributor signs exclusive distribution agreement for Denmark and Norway

LOS ANGELES, CALIFORNIA –October 13, 2016 – GTX Corp (OTCBB: GTXO), an IoT platform in the personal location GPS wearable and wandering assistive technology business, announced existing Demark distributor Safecall expanded their operations into Norway and signed an exclusive distribution agreement for both countries. Safecall first launched the GPS SmartSoles in Denmark last October. Due to an increase in product demand and the recent Dementia Plan 2020 announcement by the Norwegian government, it has expand distribution into Norway and locked up exclusive rights. Safecall has already placed a blanket order of GPS SmartSoles for the remaining of the year for both Denmark and Norway and will be submitting another order to cover the first half of 2017 by end of next month.

The Norwegian government launched its Norway’s Dementia plan 2020 which provides the framework for further cooperation between state, municipalities and voluntary sector so that people with dementia can live better lives. Minister of Health, Bent Hoie, commented, “We want to enable people living with dementia to participate more actively in society.”

A survey on using GPS technology was completed and published in 2015.  Of the 200 dementia sufferers in Norway, the survey revealed that almost all experience greater peace of mind and increased levels of physical activity using GPS devices. The study forms part of the public sector innovation projects collectively known as “Trygge Spor og SamSpill (safe tracking and interaction).” The initial project began with five municipalities and 50 dementia sufferers and in 2015 it was expanded to include 18 municipalities. More or less all respondents to the survey (next of kin, GPS users, health service providers and staff at out-patient clinics and nursing homes), say that the GPS device gives them greater peace of mind. Staff at clinics and homes experience fewer conflicts and waste less time and effort in redirecting patients and keeping order on the wards. Moreover, the technology can result in financial savings in cases where sufferers are able to live for longer at home or can reside in open, as opposed to secure, nursing home wards.

As part of the plan, municipalities will be able to apply for the following grants:

  • Day activity services for people with dementia living at home under a special grant scheme administered by the Norwegian Directorate of Health;
  • Building or modernizing nursing homes and assisted living facilities with 24-hour care to take account of the needs of people with dementia and cognitive impairment through a special investment grant scheme offered by the Norwegian State Housing Bank. The design of all new buildings and modernization projects must take account of the needs of people with dementia.

In 2012, Alzheimer Europe estimated the number of people with dementia in Norway at 77,158. This represented 1.56 % of the total population of 4,960,482. The number of people with dementia as a percentage of the population is similar to other European countries with an average of 1.55% and in the U.S. with a slightly higher average of 1.66%.

The Real Risk of Wandering

One of the most concerning and frantic feelings comes from when a family member and loved one wanders and becomes lost. Families, communities and law enforcement alike are brought together to find that missing person.

According to Home Instead Senior Care network, nearly 50% of family members surveyed have experienced a loved one with Alzheimer’s wandering or getting lost and in addition, six out of 10 adults with Alzheimer’s or another form of Dementia will have a tendency to wander. Wandering and getting lost is common among people with dementia and can happen during any stage of the disease.

When someone is living with Alzheimer’s, Dementia, autism or other neurological memory disorders, there are times when sights and sounds (i.e, a police or ambulance siren) may frighten them to misinterpret their environment and cause them to wander away from their known familiar places. Similarly, when the individual is in a crowded and over stimulating environment, they may wander away to escape the commotion.

Other reasons why an individual may wander away from a safe place, including their own home, is when they may not recognize the new space and aim to return to a place that recollects to them as being safe, such as a past workplace.  Also, when a high change in routine occurs, the individual may become confused of their surroundings and seek solitude elsewhere.

Luckily, in some incidents the wide connections of social media and law enforcement in the communities results in the wanderer being able to return home, safely. However, there are times the incident ends in tragedy for someone who is lost and confused in an unfamiliar place. In July 2016, 90 year-old Bonnie Walker was reported missing from her senior assisted-living facility. After having slipped down a ravine while she was walking, Ms. Walker was later found dead after sustaining blunt force injuries from an alligator following her fall.  

There are many resources for caregivers and family members of someone with Alzheimer’s or another form of Dementia who has a tendency to wander. Whether support is needed for the caregiver or if a technological device, such as the GPS SmartSole is needed to monitor the user’s whereabouts, there are options for a wanderer. One incident of wandering is one too many and it is highly suggested to address the situation before a loved one becomes lost and tragedy ensues.

GTX Corp Reports Second Quarter 2016 Financial Results

Increased Revenues, Margins, Subscribers, Channel Partners and new IP Revenue Stream

LOS ANGELES, CA – August  16, 2016 – GTX Corp. (OTCQB: GTXO), an IoT platform and leading provider of personal location GPS wearable technology and wandering assistive technology, announced financial results for the second quarter ended June 30, 2016.

Second Quarter Highlights

  • Revenue increased 36% over 2015 comparable period
  • Subscriber revenue increased 133% over 2015 comparable period
  • Gross profit margin increased from 27% to 45% over 2015 comparable period
  • Operating expenses decreased 17% over 2015 comparable period
  • Net operating losses decreased 34% over 2015 comparable period
  • Active units in the field and subscribers in over 35 countries
  • Vendor number for reimbursement in six states
  • Shipped next version 1.25 GPS SmartSole
  • Began monetizing our Comm Protocol “286” family patents
  • Received our first military test order
  • Signed research collaboration agreement with George Mason University

Q2 Initiatives included adding new customers and subscribers – creating a new revenue stream by monetizing intellectual property assets – increasing overall margins through cost reductions and better operational efficiency.

Two new master distributors were added, one in the U.S. and the other in the UK, both of which have dozens of salespeople and resellers operating under their management. This is important to note because it will allow GTX to scale distribution in certain vertical markets or territories without adding significant overhead and operation costs.

The Company also received its first military test order for a new non-cellular, encrypted GPS technology.  The proposed solution is a battery powered, broadcast only GPS tracker using RF technology (900MHz ISM bandwidth), with a nine mile line of site (LOS) range. Both the hardware and software of this new product will be designed and manufactured in house by GTX. Prototypes are expected to be completed and shipped by next month and if the test order is successful, this product has the potential to open up new opportunities within the government sector or commercial installations that have poor or no cell coverage. In addition the Company received several new vendor numbers for GPS SmartSole medical assisted reimbursement and is now operational with these codes in six states: Wisconsin, Ohio, New York, California, Illinois and Maine.

On the production front 500 units of version 1.25 GPS modules were prepped for manufacturing into SmartSoles, making this the second production run with several enhancements and an embedded Telefonica SIM card. This version allows GTX Corp to ship SmartSoles internationally and activate the SIM card remotely from its cloud based platform. This is a significant advancement because the Company no longer needs to custom make SmartSoles for international distributors with their own SIM cards, instead international customers can order right out of inventory.

The benefits include reduced manufacturing costs, improve delivery timelines and enable GTX to bill for international data charges increasing RPS (revenue per subscriber) which is continuing to trend up with subscriber revenue up 133% adding to an overall gross margin increase from 27% to 45%.

During Q2 2016 the Company also signed a definitive licensing agreement with Inventergy Innovations, LLC, a subsidiary of Inventergy Global, Inc. (NASDAQ: INVT). Inventergy is spearheading a monetization campaign for three of GTX’s “286” family of patents and will negotiate either a license for use or a sale of the patents to potential infringers that operate in the mobile tracking and monitoring industry. These three GTX patents are not limited to any particular form factor and are applicable to any generic mobile tracking device utilizing this technology which is embedded in millions of wearable and mobile devices and deployed across numerous industries.

The mobile health and wellness market which GTX pioneered is on the cusp of a significant stride forward. Thanks to modern wearable technologies that provide the means to collect and manage health and wellness data in a more convenient and automated fashion, wearables have emerged for fitness tracking, medical condition management, wellness monitoring, and personal safety assistance, among other use cases. This represents a sizable addressable market and creates multiple licensing opportunities with a potential value for the GTX Comm Protocol “286” patents that far extend beyond the other core GTX footwear patents and into areas such as:

  • GPS watches
  • Fitness wearables that track location
  • Hand-held GPS devices
  • Tracking apps on Smartphones
  • Standalone GPS tracking devices
  • Location based platforms in general

As we move forward into the second half of 2016 we expect these trends to hold but we are also cognisant of our ebb and flow, as we saw in Q1 while we were transitioning to our next version 1.25 SmartSole, implementing a new connectivity platform and crafting our IP monetization strategy. Lack of sufficient capital for inventory, human resources and infrastructure has been a challenge since our launch last year. It has limited our ability to order appropriate inventory thereby limiting our ability to grow as quickly as we would like. It has also limited our ability to hire additional personnel to support growth. We believe that our increased margins and revenues, along with the new monetization IP campaign, will begin to ease our capital shortage problem.”

Bertagna continued, “Having said that, we remain focused on building brand and product awareness on a global scale, growing our channels of distribution and increasing sales, subscription revenues and margins in all our product categories. Looking ahead in 2016, we will work closely with our distributors and new partner Inventergy to explore new revenue opportunities, work with our vendors to scale our manufacturing processes in order to lower costs, reach out to broader market segments such as adults with autism, the security and military market, work with police departments, insurance providers, non-profits, University’s and continue applying for additional medical reimbursement codes.
