GTX Corp Signs Patent Licensing Agreement with Inventergy And adds new IP expert Advisor

Los Angeles, Calif. – May 10, 2016– GTX Corp (OTCBB: GTXO), an IoT platform in the personal location wearable and wandering assistive technology business, announced today signing a Letter of Intent with a binding lock-up with Inventergy Innovations, LLC  (“Inventergy”), a subsidiary of Inventergy Global, Inc. (NASDAQ: INVT) a Silicon Valley-based intellectual property company, led by IP industry veteran and former Hewlett-Packard  executive, Joe Beyers. INVT is dedicated to identifying, acquiring and licensing the patented technologies of market-significant technology leaders and leverages decades of corporate experience, market and technology expertise, and industry connections to assist Fortune 500 companies in leveraging the value of their innovations to achieve greater returns on their IP portfolios.

 

Joe Beyers, Founder, Chairman and CEO of INVT stated, “We are excited about teaming up with GTX to monetize this valuable intellectual property. We believe that the GTX patents are applicable to remotely configurable tracking and location devices including smartphones and other GPS based products that are in use today and will be even more heavily deployed in the future as the wearable market grows. Collectively this represents a very sizable addressable market.”

 

As part of a final agreement, Inventergy will be granted  exclusive rights to license or sell the three GTX patents – US 8,154,401, US 8,760,286, and US 9,219,978, commonly referred to as the “Comm. Protocol” or “286” Family. Inventergy will be spearheading the monetization campaign, with a proposed revenue share on all future licensing royalties or possible sale of the portfolio.  Inventergy will begin making initial payments to GTX upon closing and quarterly pre-payments starting in Q1 2017.  Inventergy will also be financing and managing the ongoing maintenance of the Comm Protocol patents in collaboration with GTX and will continue to file ongoing claims, exploiting the open continuation status of the portfolio.  GTX will provide assistance on the ongoing filings under a consulting agreement in which GTX in will be paid shares of INVT common stock.

As part of an overall comprehensive monetization and licensing strategy, GTX has also brought on Darius Sankey, PhD as a new advisor to help manage the different ongoing campaigns. Dr. Sankey is a general partner at Accelerate-IT Ventures, was a managing director at Ocean Tomo, and a seasoned executive in the ventures capital and technology industries.

Dr. Sankey will be an integral part of the GTX team as the Company continues to explore other licensing and business opportunities by leveraging its broad patent portfolio.

Los Angeles, Calif. – April 22, 2016GTX Corp (OTCBB: GTXO), an IoT platform in the personal location wearable and wandering assistive technology business, announced today commentary on the Company’s financial results and operational highlights for year-end December 31, 2015.

2015 Milestones:

  • Launched GPS and BLE Patented SmartSoles
  • Added channel partners in 14 countries
  • Added a Fulfilment center in Ireland to service European customers
  • Built a domestic network of salereps, online affiliates and retail stores
  • Have reimbursement codes or vendor numbers in 5 States
  • Strengthened and grew our IP portfolio –  granted new patents and filed new patents
  • Developed our next generation SmartSole®
  • Signed global connectivity agreement with Telefonica
  • Added 4 retired and active professional athletes as brand ambassadors for a total of 6
  • Year over year- revenues up, losses down and average revenue per subscriber (RPS) up by over 400%

Management commentary:  Patrick Bertagna, CEO of GTX Corp.

2015, as highlighted above, was a good year overall. We increased revenues, grew our subscriber base, added partners across the globe and increased our RPS over 400%. We added patents, sales reps, online affiliates, brand ambassadors, employees, advisors, website clicks and hits, and we are still on page one in a google search for GPS Wearable Technology. Compared to 2014 we made a lot of progress and we will continue to make progress in 2016. But our long term progress cannot always be measured in three month increments and our ebbs and flow should not be confined to a quarterly filing, especially where we are today in our growth cycle. Our drop in revenues in Q4 was not related to any slowdown in momentum, but rather due to the growing pains many emerging companies go through. We basically needed to manage inventory and make sure we would have enough on hand to fulfil our consumer orders, which were showing a steady month over month increase. In addition, many of our international distributors were waiting for our next generation SmartSole with an embedded SIM card. With consumer sales increasing and next gen product due in Q1, we decided to hold off shipping our international distributors to ensure there would be no interruption of product supply in the U.S., hence less product was shipped in the fourth quarter.

Looking forward, our long term growth strategy is based on selling solutions to a “needs” market and protecting our products with intellectual property. Our SmartSoles address the “needs” market, which comprises of persons with Alzheimer’s, autism, dementia, and traumatic brain injury, all of which have high tendencies to wander, do not want to be stigmatized with visible devices on them and need to be tracked regularly.  Our SmartSole is a “best in class” product for this demographic and we protect our product and this market with an extensive IP portfolio including the ‘286’ patent family, which is not restricted to footwear but has a far broader reach. Our ‘286’ patent effects ANY tracking device, from embedded devices as in the case of our GPS SmartSole®, to other products like a GPS watch, and further to the ubiquitous stand alone, hand held wireless GPS trackers and Smartphones.

Currently there are 100 million people worldwide who are part of this wandering group and that number is expected to reach 277 million by 2050. We continue to believe that the approach of delivering wearable wandering assistive technologies to this growing global population is the most effective way for us to gain traction in the market place. That traction is measured by how many subscribers we have and revenue per subscriber (RPS) which both significantly increased this year for us.

As we move forward into 2016, our focus continues to be on building our sales and distribution channels. We believe our next gen SmartSoles are going to be very well received in the global market place and we already have potential new distributors and OEM partners in new territories and vertical markets ordering samples for evaluation. We also plan to introduce a new revenue stream coming from our recent activity with our patents and will start actively pursuing IP licensing opportunities.

Los Angeles, Calif. – July 8, 2014 – GTX Corp. (OTCQB: GTXO), a leading provider of personal location wearable technologies, was granted another U.S. patent related to its location based monitoring platform. The recently issued U.S. patent No. 8,760,286 (the ‘286 patent) is a significant addition to the existing family of communication protocol patents and to GTX Corp’s overall patent portfolio. GTX delivers solutions to a growing global audience of over 100 million people with cognitive memory disorders, including Alzheimer’s, dementia, Autism and Traumatic Brain Injuries (TBI) and has been building its intellectual property portfolio of Patents, Trademarks and URL’s since 2002.

 

–        The inventions of the ‘286 patent and its 36 claims generally cover the transmission of location data from a tracking device, of any kind, to a server, in the event that the tracking device is at some point in time unable to connect to the server and consequently has to store the location data until it is again able to establish a communication link. This feature preserves the “bread crumb trail” even when the device goes temporarily out of communication range.  The inventions also enable the remote modification of how frequently a tracking device buffers location data when the device is unable to communicate with the server.

 

–    The patent is not just restricted to footwear but has far broader implications, effecting ANY tracking device from embedded devises as in the case of the GPS SmartSole™ or GPS watch for example to the ubiquitous stand alone, hand held devices.

 

–    Patent ‘286 is part of a family of patents that GTX has filed over the years related to communication protocols with priority filing dates going back to February 8, 2008. In addition the company continues to exercise its ability to file additional patents around inventions related to the same area of core GPS functionality with the same early priority date; allowing the significance and importance of the patent(s) to all GPS related products to expand and grow.

(OTCQB: GTXO), a leading provider of personal location wearable technologies, was recently notified by the U.S. Patent Office that another patent has been allowed related to its innovative and potentially life saving location–based monitoring platform.

“This is a milestone event in our intellectual property roadmap,” commented Larry E. Henneman, Jr., GTX Corp’s patent counsel. “The allowed patent includes 38 claims, with 5 independent claims, directed to tracking devices and methods for remotely configuring the tracking devices.
